what is the proper procedure to carry out VSS?
any source or book i can refer to?

does the VSS still have to take into the termination/layoff benefit?
or the compensation package is based on own company policy?

You can try searching the internet with VSS see if you can get some info there. To me, in order for the staff to opt for it, the benefits of the VSS package should at least be better than those in the Employment (Termination and Layoff) Benefits Regulations and be based on the company's needs.

If the staff does not want to accept the VSS, so what should i do next?
Proceed with the usual Termination Procedure?

VSS is supposed to be a voluntary scheme. If the staff did not want it, that's it. It is up to the employer to decide on the next course of action.

Next should be ISS. Involuntary Separation Scheme.

You must proof that the job either no longer required or redundent.
